第1条(定義)Article 1 (Definitions)
本規約において、次の各号に掲げる用語の意義は、当該各号に定めるところによります。In these Terms, the terms listed below have the meanings given in each item.
- 「当社」とは、日本法に基づき設立されたフレンズ株式会社をいいます。“the Company” means Friends Inc., a company incorporated under the laws of Japan.
- 「本サービス」とは、当社が日本国内でお客様から荷物をお預かりし、検品・梱包を行い、お客様の指定する仕向地への国際輸送を手配する「SAYONARA BOX」サービスをいいます。“the Service” means the “SAYONARA BOX” service, under which the Company receives parcels from the Customer in Japan, inspects and packs them, and arranges international transport to the destination the Customer specifies.
- 「お客様」とは、本サービスの利用を申し込み、又は利用する方をいいます。“the Customer” means a person who applies to use, or uses, the Service.
- 「荷物」とは、本サービスのために当社又は運送事業者に引き渡された物品をいいます。“Parcel” means goods handed over to the Company or to a Carrier for the purposes of the Service.
- 「運送事業者」とは、本サービスに関連して運送を行う事業者をいい、FedEx Corporation及びその関係会社(以下「FedEx」)並びにヤマト運輸株式会社(以下「ヤマト運輸」)を含みます。“Carrier” means a business that performs transport in connection with the Service, including FedEx Corporation and its affiliates (“FedEx”) and Yamato Transport Co., Ltd. (“Yamato”).
- 「運送約款等」とは、運送事業者が公表する運送約款、料金表、禁制品規則その他の条件をいいます。“Carrier Terms” means the conditions of carriage, tariffs, prohibited-items rules and other conditions published by a Carrier.
- 「当社施設」とは、荷物の受領・検品・梱包及び発送までの一時的な保管を行う、当社が運営し又は手配する施設をいいます。“Company Facility” means a facility operated or arranged by the Company at which parcels are received, inspected, packed and held temporarily until dispatch.
- 「発送不可品」とは、当社の判断により適法に又は現実に発送することができない荷物をいいます(第7条参照)。“Non-shippable Item” means anything that, in the Company’s judgment, cannot lawfully or practically be shipped (see Article 7).
第2条(本サービスの性質・当社は運送人ではないこと)Article 2 (Nature of the Service; the Company is not a carrier)
- 当社は、本サービスにおいて、荷物の受領、内容物の検品、梱包、発送までの一時的な保管、発送書類及び通関書類の作成並びにお客様のために運送事業者との運送手配を行うことを内容とする役務を提供します。Under the Service the Company receives parcels, inspects their contents, packs them, holds them temporarily until dispatch, prepares shipping and customs documents, and arranges carriage with Carriers on the Customer’s behalf.
- 運送契約は、お客様と運送事業者との間に成立します。当社は運送人ではなく、自ら荷物の運送を引き受けるものではありません。運送については、該当する運送約款等並びにこれに適用される国際条約及び法令が適用されます。The contract of carriage is formed between the Customer and the Carrier. The Company is not a carrier and does not itself undertake to transport parcels. Carriage is governed by the applicable Carrier Terms and by the international conventions and laws that apply to it.
- 当社は、実務上の理由により、航空運送状その他の運送書類において「荷送人(shipper)」として記載されることがあります。これはお客様の便宜のための事務上の取扱いです。これにより当社が運送人となるものではなく、また第15条を超えて当社の責任が拡大するものでもありません。For practical reasons the Company may be named as “shipper” on air waybills and other transport documents. This is an administrative arrangement for the Customer’s convenience. It does not make the Company a carrier, nor does it extend the Company’s liability beyond Article 15.
- お客様は、荷物に運送約款等が適用されることを承認し、これを遵守することに同意します。運送そのものに関し本規約と運送約款等とが抵触する場合には、運送約款等が優先します。The Customer acknowledges that the Carrier Terms apply to the Parcel and agrees to comply with them. Where these Terms conflict with the Carrier Terms in respect of carriage itself, the Carrier Terms prevail.
第3条(契約の成立)Article 3 (Formation of the contract)
- お客様は、当社所定の方法により本サービスの利用を申し込むものとします。本サービスに係る契約は、当社がお客様に対して受付完了の通知を発した時に成立します。The Customer shall apply to use the Service by the method prescribed by the Company. A contract for the Service is formed when the Company issues a notice of acceptance to the Customer.
- 当社は、荷物が第7条に該当すると思われる場合、仕向地が対象外である場合、お客様が過去に本規約に違反した場合その他当社が適当でないと判断した場合には、申込みをお断りすることができます。The Company may refuse an application where the Parcel appears to fall under Article 7, where the destination is outside the area covered, where the Customer has previously breached these Terms, or where the Company otherwise judges it inappropriate.
- 本規約は、民法第548条の2に定める定型約款に該当します。These Terms constitute standard terms of contract within the meaning of Article 548-2 of the Civil Code of Japan.
第4条(利用資格)Article 4 (Eligibility)
- お客様は、18歳以上である必要があります。お客様に適用される法令上未成年者に当たる場合は、法定代理人の同意を得た上でのみ本サービスを利用できます。The Customer must be 18 years of age or older. A Customer who is a minor under the law applicable to them may use the Service only with the consent of their legal representative.
- お客様は、本サービスを個人的かつ非商業的な目的で利用するものとします。転売目的、事業目的その他商業貨物として物品を発送するために本サービスを利用することはできません。商業貨物は通関要件が異なるため、本サービスの対象外です。The Customer shall use the Service for personal, non-commercial purposes. The Service may not be used to ship goods for resale, for business purposes or as commercial cargo. Commercial cargo is outside the scope of the Service because different customs requirements apply to it.
- お客様は、荷物の所有者であること、又はその他これを適法に発送する権限を有することを表明します。The Customer represents that they own the Parcel or are otherwise lawfully entitled to ship it.
第5条(引渡し・当社の責任の始期)Article 5 (Hand-over; when the Company’s responsibility begins)
- 荷物に関する当社の責任は、当社又は運送事業者が現実に当該荷物を受領し、受領の記録を作成した時点から開始します。The Company’s responsibility for a Parcel begins when the Company or a Carrier actually receives it and makes a record of receipt.
- お客様が、後日の集荷のためにホテル、宿泊施設その他の第三者に荷物を預けた場合、当該第三者はお客様のために荷物を保管するものです。当社又は運送事業者が受領する前に生じた荷物の滅失・毀損・遅延(ホテルその他の第三者が保管している間に生じたものを含みます)について、当社は責任を負いません。Where the Customer leaves a Parcel with a hotel, accommodation or other third party for later collection, that third party holds the Parcel on the Customer’s behalf. The Company is not responsible for loss of, damage to or delay of a Parcel occurring before the Company or a Carrier receives it, including while it is held by a hotel or other third party.
- 受領時に当社が記録した個数、重量及び寸法は、これに反する明白な証拠がない限り、正確なものとして取り扱います。The number of pieces, weight and dimensions recorded by the Company at receipt are treated as accurate in the absence of clear evidence to the contrary.
第6条(内容物の検品)Article 6 (Inspection of contents)
- お客様は、当社が、(i) 発送の可否を判断するため、(ii) 正確な通関申告書類及び発送書類を作成するため、(iii) 航空輸送上及び作業上の安全を確保するため、並びに (iv) 紛争を解決するために、すべての梱包を開封し、その内容物のすべてを確認し、内容物を撮影・記録することに、明示的に同意します。The Customer expressly consents to the Company opening all packaging, examining all of the contents, and photographing and recording them, in order to (i) determine whether the Parcel can be shipped, (ii) prepare accurate customs and shipping documents, (iii) ensure air-transport and operational safety, and (iv) resolve disputes.
- 当社は、お客様への事前の通知及びお客様の立会いなくして、検品を行うことができます。The Company may carry out an inspection without prior notice to the Customer and without the Customer being present.
- 当社は、安全かつ法令に適合した輸送のために適当と判断する場合、荷物の再梱包、複数口の統合若しくは分割又は梱包材の除去を行うことができます。The Company may repack a Parcel, consolidate or split multiple pieces, or remove packing materials where it judges this appropriate for safe and lawful transport.
- 検品は第1項の目的のためにのみ行われます。検品は、鑑定、真贋の保証、通関の保証又は無損傷での到着の保証ではありません。Inspection is carried out only for the purposes in paragraph 1. It is not an appraisal, a guarantee of authenticity, a guarantee of customs clearance, or a guarantee of arrival undamaged.
- 検品記録及び写真は、当社のプライバシーポリシーに従って取り扱います。Inspection records and photographs are handled in accordance with the Company’s Privacy Policy.
第7条(禁止品・発送不可品)Article 7 (Prohibited and non-shippable items)
- お客様は、荷物に次の各号に掲げるものを含めてはなりません。The Customer must not include any of the following in a Parcel:
- (a) 運送約款等における禁制品又は制限品(a) items prohibited or restricted under the Carrier Terms;
- (b) IATA危険物規則書その他適用される航空法令上の危険物。スプレー缶、香水その他の引火性液体、マニキュア・除光液、ライター及びライターオイル、マッチ、アルコール消毒液、塗料・シンナー・引火性接着剤、漂白剤・腐食性洗剤、ガス缶、花火、並びに単体のリチウム電池及びモバイルバッテリーを含みますが、これらに限られません。(b) dangerous goods under the IATA Dangerous Goods Regulations or other applicable aviation law, including but not limited to aerosol cans, perfume and other flammable liquids, nail polish and remover, lighters and lighter fuel, matches, alcohol-based sanitiser, paint, thinner and flammable adhesives, bleach and corrosive cleaners, gas canisters, fireworks, and loose lithium batteries and power banks;
- (c) 日本からの輸出又は仕向国への輸入が法令上認められないもの。肉類及び肉を含む食品、果物、野菜、植物、種子、土壌、一定の乳製品・卵製品、仕向国で承認されていない医薬品・サプリメント、並びにワシントン条約(CITES)対象品を含みますが、これらに限られません。(c) anything that may not lawfully be exported from Japan or imported into the destination country, including but not limited to meat and foods containing meat, fruit, vegetables, plants, seeds, soil, certain dairy and egg products, medicines and supplements not approved in the destination country, and items covered by CITES;
- (d) 現金、有価証券、地金、高額な宝飾品・時計・美術品(d) cash, securities, bullion, and high-value jewellery, watches or works of art;
- (e) 銃器、弾薬、刀剣類、模造武器、スタンガン、麻薬、大麻製品(CBDを含みます)、たばこ製品及び電子たばこ(e) firearms, ammunition, swords and blades, replica weapons, stun guns, narcotics, cannabis products (including CBD), tobacco products and e-cigarettes;
- (f) 知的財産権を侵害するもの又はわいせつ物(f) anything that infringes intellectual property rights, and obscene material;
- (g) 生きた動植物、遺体又は遺骨・遺灰(g) live animals and plants, human remains, and ashes or bone;
- (h) 生鮮品又は要冷蔵・要冷凍品(h) perishable goods and anything requiring refrigeration or freezing;
- (i) 郵便法にいう信書(i) correspondence within the meaning of the Postal Act of Japan;
- (j) その他当社が発送に適さないと合理的に判断するもの(j) anything else the Company reasonably judges unsuitable for shipping.
- 当社は、平易な表現による禁止品一覧を https://sayonarabox.jp に掲示します。当該一覧は例示であり、網羅的なものではありません。いかなる場合も、運送約款等及び適用法令が優先します。The Company publishes a plain-language list of prohibited items at https://sayonarabox.jp . That list is illustrative and not exhaustive. The Carrier Terms and applicable law prevail in all cases.
- 荷物が発送不可品に該当するか否かは、当社が単独の裁量により判断し、当社はその発送を拒むことができます。Whether a Parcel is a Non-shippable Item is determined by the Company in its sole discretion, and the Company may refuse to ship it.
- お客様は、本サービスを利用するたびに、荷物に第1項各号に掲げるものが含まれていないことを表明し、保証します。Each time the Customer uses the Service, the Customer represents and warrants that the Parcel contains none of the items listed in paragraph 1.
第8条(発送不可品の抜き取り)Article 8 (Removal of non-shippable items)
- 当社は、検品において発送不可品を発見した場合、お客様が登録したメールアドレス宛てに、写真を添えて、(i) 発送できない物品、(ii) 残りの荷物を発送する場合の修正後の料金、及び (iii) ご回答の期限を通知します。Where the Company finds a Non-shippable Item during inspection, it will notify the Customer at their registered email address, with photographs, of (i) the items that cannot be shipped, (ii) the revised charge for shipping the remainder of the Parcel, and (iii) the deadline for the Customer’s reply.
- 当社は、お客様が (a) 残りの荷物の発送に同意し、かつ (b) 所定の料金を全額お支払いになった後に限り、発送不可品を抜き取った上で残りの荷物を発送します。入金が確認されるまで、当社はいかなる荷物も発送しません。The Company will remove the Non-shippable Item and ship the remainder only after the Customer has (a) agreed to the remainder being shipped and (b) paid the applicable charges in full. The Company will not ship any Parcel until payment has been confirmed.
- 抜き取られた発送不可品は、お客様に返還されません。当社は、これを次のとおり取り扱います。(a) 当該物品の所持又は取扱いそれ自体が違法である場合(麻薬、銃器、偽ブランド品等)には、警察、税関その他の権限ある当局に引き渡し、又は通報します。(b) その他の場合には、第9条に定める期間これを保管した上、同条に従って処分します。Removed non-shippable items are not returned to the Customer. The Company deals with them as follows. (a) Where possession or handling of the item is itself unlawful (narcotics, firearms, counterfeit goods and the like), the Company will hand it over or report it to the police, customs or another competent authority. (b) Otherwise, the Company will hold it for the period set out in Article 9 and then dispose of it in accordance with that Article.
- 前項(b)にかかわらず、当該物品が危険物でなく、かつ返還が現実に可能である場合において、お客様が第9条に定める期間内に日本国内の返還先を指定し、返送に要する費用をお支払いになったときは、当社は、当社の裁量により、当該返還先に当該物品を発送することができます。Notwithstanding paragraph 3(b), where the item is not dangerous goods and return is practically possible, and the Customer designates a return address in Japan within the period set out in Article 9 and pays the cost of return, the Company may, at its discretion, send the item to that address.
- 当社が第3項(a)により物品を当局に引き渡す場合、当社は、当該当局に対し、お客様の氏名、連絡先及び検品記録を開示することがあります。Where the Company hands an item to an authority under paragraph 3(a), it may disclose the Customer’s name, contact details and inspection records to that authority.
第9条(保管期間及び処分)Article 9 (Storage period and disposal)
- 当社は、荷物を受領した日から30日間、当社施設においてこれを保管します。この期間中、保管料はいただきません。The Company holds a Parcel at a Company Facility for 30 days from the date of receipt. No storage fee is charged during this period.
- 当該期間の満了時において、第8条第2項の要件が充足されないこと、お客様からのご回答がないこと、お客様と連絡が取れないことその他お客様の責めに帰すべき事由により荷物が発送されていない場合、当社は、当該荷物を処分することができます。If, at the end of that period, the requirements of Article 8, paragraph 2 have not been met, the Customer has not replied, the Customer cannot be contacted, or the Parcel has otherwise not been shipped for reasons attributable to the Customer, the Company may dispose of the Parcel.
- 当社は、第8条第1項の最初の通知を発信した日から少なくとも14日を経過するまでは、荷物を処分しません。また、処分前に、お客様の登録メールアドレス宛てに少なくとも2回の通知を発信します。The Company will not dispose of a Parcel until at least 14 days have passed since the date it sent the first notice under Article 8, paragraph 1. It will also send at least two notices to the Customer’s registered email address before disposal.
- 本条による処分は、廃棄、売却その他当社が適当と認める方法によることができます。当社が荷物を売却した場合、当社は、その代金を未払いの料金並びに保管及び処分に要した費用に充当することができ、なお残額があるときは、これは当社に帰属します。Disposal under this Article may be by discarding, sale or any other method the Company considers appropriate. Where the Company sells a Parcel, it may apply the proceeds to unpaid charges and to the costs of storage and disposal; any balance remaining belongs to the Company.
- お客様は、本条による処分が行われた時点で、当該荷物の所有権を放棄したものとみなされます。The Customer is deemed to have abandoned ownership of the Parcel at the time it is disposed of under this Article.
- 通常の処分費用は当社が負担します。危険物その他特別な処分を要する荷物については、当社は、現に要した追加費用をお客様に請求することができます。The Company bears ordinary disposal costs. For dangerous goods and other parcels requiring special disposal, the Company may charge the Customer the additional costs actually incurred.
- 本条は、当社に対し、30日を超えて荷物を保管する義務、又は危険な状態となった荷物、腐敗が始まった荷物若しくは他の物品に損害を与えている荷物を保管する義務を課すものではありません。これらの荷物は直ちに処分することができます。This Article does not oblige the Company to store a Parcel for longer than 30 days, or to store a Parcel that has become dangerous, has begun to spoil, or is damaging other goods. Such parcels may be disposed of immediately.
第10条(料金及び支払い)Article 10 (Charges and payment)
- 料金は、https://sayonarabox.jp に掲示するところ、又は別途お客様に提示するところによります。Charges are as published at https://sayonarabox.jp or as separately quoted to the Customer.
- 荷物の受領前にお示しする金額は見積りです。最終料金は、受領後に、実重量、容積重量、寸法、個数及び仕向地に基づいて算出します。Any amount given before the Parcel is received is an estimate. The final charge is calculated after receipt, on the basis of actual weight, volumetric weight, dimensions, number of pieces and destination.
- 当社は、料金の全額のお支払いがあるまで荷物を発送しません。お支払いがない場合、第9条が適用されます。The Company will not ship a Parcel until the charges have been paid in full. If payment is not made, Article 9 applies.
- お支払いは、当社所定の方法によります。決済処理は第三者である決済代行事業者が行い、当社はカード番号の全桁を保有しません。Payment shall be made by the methods prescribed by the Company. Payment is processed by a third-party payment provider, and the Company does not hold full card numbers.
- 料金は、申込時に表示された通貨で表示されます。カード発行会社が課す為替手数料及び海外取引手数料は、お客様のご負担となります。Charges are shown in the currency displayed at the time of application. Currency conversion fees and foreign transaction fees charged by the Customer’s card issuer are borne by the Customer.
第11条(関税・税金及び通関費用)Article 11 (Duties, taxes and customs charges)
- 仕向国において課される関税、輸入諸税、消費税又は売上税、通関手数料、保管料その他一切の費用は、お客様のご負担となります。Customs duties, import taxes, consumption or sales tax, clearance fees, storage charges and any other costs imposed in the destination country are borne by the Customer.
- 当社が明示的に別段の合意をした場合を除き、発送はDAP(仕向地持込渡し)条件によります。すなわち、これらの費用は運送事業者が立て替え、仕向国において荷受人に請求されます。お客様は、これらを運送事業者に対し直接お支払いいただく必要があります。Unless the Company expressly agrees otherwise, shipments are made on DAP (Delivered at Place) terms: these costs are advanced by the Carrier and billed to the consignee in the destination country. The Customer must pay them to the Carrier directly.
- 当社は、関税及び諸税の額を提示、保証又は見積もることはできません。税率及び規則は頻繁に変更され、仕向国の当局が決定するものです。当社が言及する数値は一般的な参考情報にすぎません。The Company cannot state, guarantee or estimate the amount of duties and taxes. Rates and rules change frequently and are determined by the authorities of the destination country. Any figures the Company mentions are general reference information only.
- 当社が関税元払い(DDP)オプションを提供し、お客様がこれを選択した場合、当社は概算額を事前に収受します。実際の賦課額が概算額を上回った場合、当社は差額を請求し、お客様はこれをお支払いいただきます。下回った場合は差額を返金します。当社は、本オプションについて取扱手数料を申し受けることがあります。Where the Company offers a delivered-duty-paid (DDP) option and the Customer selects it, the Company collects an estimated amount in advance. If the amount actually levied exceeds the estimate, the Company will invoice the difference and the Customer shall pay it; if it is lower, the difference is refunded. The Company may charge a handling fee for this option.
- お客様が関税・諸税・費用をお支払いにならず、その結果として運送事業者又は当局が当社に対して支払を求めた場合、又は荷物が返送、放棄、保管、廃棄若しくは差押えとなった場合、お客様は、当社が支払った金額及び当社に生じた費用(返送運賃、保管費用及び処分費用を含みます)の全額を当社に補償するものとします。If the Customer does not pay duties, taxes or charges and, as a result, a Carrier or an authority seeks payment from the Company, or the Parcel is returned, abandoned, stored, destroyed or seized, the Customer shall indemnify the Company in full for the amounts it has paid and the costs it has incurred, including return freight, storage costs and disposal costs.
- お客様は、当社が通関申告書類の作成に用いる、内容物及びその価額に関する情報の正確性について責任を負います。虚偽又は不完全な申告は、差押え、制裁金又は訴追の原因となることがあり、これらについてはお客様が責任を負います。The Customer is responsible for the accuracy of the information about the contents and their value that the Company uses to prepare customs documents. A false or incomplete declaration may lead to seizure, penalties or prosecution, for which the Customer is responsible.
第12条(発送及び配達)Article 12 (Dispatch and delivery)
- 当社は、入金の確認及び検品の完了後に荷物を発送します。当社は、発送日及び配達日を保証しません。The Company dispatches a Parcel once payment has been confirmed and inspection completed. The Company does not guarantee dispatch or delivery dates.
- 配達は、運送約款等に基づき運送事業者が行います。追跡情報は運送事業者が提供します。Delivery is performed by the Carrier under the Carrier Terms. Tracking information is provided by the Carrier.
- 当社は、次に掲げる事由による遅延、不着、返送又は滅失について責任を負いません。税関の検査、留置又は差押え、お客様が提供した住所情報の誤り又は不備、荷受人の不在・受取拒否・関税不払い、悪天候、自然災害、欠航、争議行為、戦争、疫病その他当社の合理的な支配の及ばない事由。The Company is not responsible for delay, non-arrival, return or loss caused by the following: customs inspection, detention or seizure; errors or omissions in the address the Customer provided; the consignee being absent, refusing receipt or not paying duties; bad weather, natural disaster, flight cancellation, industrial action, war, epidemic, or any other cause beyond the Company’s reasonable control.
- 荷物が日本に返送された場合、当社はお客様に通知します。返送運賃、関税及び保管費用はお客様のご負担となります。返送された荷物には、当社がこれを受領した日から第9条が適用されます。If a Parcel is returned to Japan, the Company will notify the Customer. Return freight, duties and storage costs are borne by the Customer. Article 9 applies to a returned Parcel from the date the Company receives it.
第13条(キャンセル及び返金)Article 13 (Cancellation and refunds)
- 料金の全額をお支払いいただいた後は、キャンセルを承ることができず、料金の返金もいたしません。Once the charges have been paid in full, cancellation is not accepted and charges are not refunded.
- 日本国内での返還。発送前にお客様から発送しないようお申出をいただいた場合、当社は料金を返金いたしませんが、お客様は荷物の日本国内での返還を受けることができます。第9条に定める期間内に日本国内の返還先をご指定いただき、返送に要する費用をお支払いいただいた場合、当社は当該返還先に荷物を発送します。Return within Japan. If the Customer asks the Company not to ship before dispatch, the Company does not refund the charges, but the Customer may have the Parcel returned within Japan. If the Customer designates a return address in Japan within the period set out in Article 9 and pays the cost of return, the Company will send the Parcel to that address.
- 第9条に定める期間内に返還先のご指定及び返送費用のお支払いがない場合、当該荷物には同条が適用されます。If no return address is designated and no return cost is paid within the period set out in Article 9, that Article applies to the Parcel.
- 発送後は、キャンセルを承ることができず、料金の返金もいたしません。After dispatch, cancellation is not accepted and charges are not refunded.
- 当社が第7条第3項により発送を拒んだ場合、発送しなかった荷物についてお支払いいただいた料金は、既に行った作業に要した費用を控除した上で返金します。Where the Company refuses to ship under Article 7, paragraph 3, charges paid for the Parcel not shipped are refunded after deducting the cost of work already performed.
- 当社の責めに帰すべき事由により本サービスを提供できない場合(当社の過誤、本サービスの提供終了等)、当社は、お支払いいただいた全額を返金し、当社の費用負担により、お客様が指定する日本国内の住所に荷物を返送します。Where the Company is unable to provide the Service for reasons attributable to the Company (the Company’s error, discontinuation of the Service and the like), the Company will refund the full amount paid and will return the Parcel, at its own cost, to an address in Japan designated by the Customer.
第14条(申告価値・保険の不提供)Article 14 (Declared value; no insurance)
- お客様は、荷物の内容物及びその価額を正確に申告しなければなりません。The Customer must declare the contents of the Parcel and their value accurately.
- 当社が受け付ける申告価値の上限は、1個口あたり1,000米ドルとします。これを超える価額の荷物について、当社はお引受けをお断りすることがあります。The maximum declared value the Company accepts is US$1,000 per piece. The Company may decline to accept a Parcel worth more than that.
- 当社は、保険の提供、販売又は手配を行いません。本規約のいかなる定めも保険商品ではありません。The Company does not provide, sell or arrange insurance. Nothing in these Terms is an insurance product.
- 当社は、将来、運送事業者に対する申告価値を引き上げるオプションを提供することがあります。当該オプションは、その時点で通知する別途の条件及び料金に従い、また当社が提供する保険としてではなく運送約款等に基づいて運用されます。The Company may in future offer an option to increase the value declared to the Carrier. Any such option will operate under separate conditions and charges notified at the time, and under the Carrier Terms rather than as insurance provided by the Company.
第15条(当社の責任)Article 15 (The Company’s liability)
- 運送区間について。運送中の荷物の滅失・毀損・遅延について、当社がお客様に対して負う責任は、当該荷物に関して当社が運送事業者から現に回収した金額を限度とします。当社は、お客様のために運送事業者に対する請求を行うよう合理的な努力を尽くし、回収した金額をお客様にお渡しします。In transit. The Company’s liability to the Customer for loss of, damage to or delay of a Parcel in transit is limited to the amount the Company actually recovers from the Carrier in respect of that Parcel. The Company will use reasonable efforts to pursue a claim against the Carrier on the Customer’s behalf and will pass on what it recovers.
- 当社施設内について。当社施設における荷物の受領、検品、梱包、保管又は取扱いに際しての当社の過失により生じた滅失又は毀損について、当社の責任は、1回のご利用あたり金100,000円を限度とします。At Company Facilities. For loss or damage caused by the Company’s negligence in receiving, inspecting, packing, storing or handling a Parcel at a Company Facility, the Company’s liability is limited to ¥100,000 per use of the Service.
- 一般。上記に定めるほか、法令が許容する最大限の範囲において、当社は、間接損害、結果的損害、逸失利益、機会の喪失又は主観的・代替不能な価値の喪失について責任を負いません。General. Except as set out above, and to the maximum extent permitted by law, the Company is not liable for indirect or consequential loss, lost profit, lost opportunity, or loss of subjective or irreplaceable value.
- 例外。第1項から第3項までは、当社に故意又は重大な過失がある場合には適用されません。Exception. Paragraphs 1 to 3 do not apply where the Company has acted with intent or gross negligence.
- 当社は、次に掲げるものについて責任を負いません。内容物固有の性質(脆弱性、腐敗性、経年劣化、液漏れ)に起因する損害、お客様による梱包の不備、電子データの喪失、税関検査により生じた損害、及び第12条第3項に掲げる事由。The Company is not liable for the following: damage arising from the inherent nature of the contents (fragility, perishability, deterioration with age, leakage); inadequate packing by the Customer; loss of electronic data; damage caused by customs inspection; and the causes listed in Article 12, paragraph 3.
- 請求期間。請求は、荷物が配達された日から90日以内に(配達されなかった場合は、合理的に配達されるべきであった日から90日以内に)、書面により当社に通知されなければなりません。Claim period. A claim must be notified to the Company in writing within 90 days of the date the Parcel was delivered, or, if it was not delivered, within 90 days of the date on which it should reasonably have been delivered.
第16条(お客様の責任及び補償)Article 16 (The Customer’s responsibility and indemnity)
- お客様は、荷物の内容物について責任を負います。The Customer is responsible for the contents of the Parcel.
- お客様が第7条第1項に掲げるものを含めた結果、当社、運送事業者、他のお客様の物品、航空機若しくは車両又は第三者に損害が生じた場合、又は当社に対して制裁金、過料、関税、保管料、処分費用若しくは弁護士費用が課された場合、お客様は、その全額を当社に賠償するものとします。Where the Customer includes anything listed in Article 7, paragraph 1 and, as a result, damage is caused to the Company, a Carrier, another customer’s goods, an aircraft or vehicle, or a third party, or a penalty, fine, duty, storage charge, disposal cost or legal fee is imposed on the Company, the Customer shall compensate the Company in full.
- これには、お客様が申告しなかった危険物(スプレー缶、リチウム電池等)により生じた損害を含みますが、これに限られません。This includes, but is not limited to, damage caused by dangerous goods the Customer did not declare, such as aerosol cans and lithium batteries.
- お客様は、荷物の内容物、価額又は仕向地に関してお客様が提供した情報の不正確又は不完全であったことにより当社に生じた損害についても、賠償するものとします。The Customer shall also compensate the Company for loss caused by inaccurate or incomplete information the Customer provided about the contents, value or destination of the Parcel.
第17条(輸出管理及び制裁)Article 17 (Export control and sanctions)
お客様は、(a) いずれの荷物も、日本の外国為替及び外国貿易法又は米国輸出管理規則(EAR)に基づく輸出許可の対象でないこと、(b) お客様及び荷受人のいずれも、適用ある制裁プログラム(米国財務省外国資産管理局(OFAC)が所管するものを含みます)に基づき指定された者でないこと、並びに (c) いずれの荷物も制裁対象国・地域に向けて発送され、又はそこで使用されることがないことを表明し、保証します。The Customer represents and warrants that (a) no Parcel is subject to an export licence requirement under Japan’s Foreign Exchange and Foreign Trade Act or the U.S. Export Administration Regulations (EAR), (b) neither the Customer nor the consignee is a person designated under any applicable sanctions programme, including those administered by the U.S. Office of Foreign Assets Control (OFAC), and (c) no Parcel is shipped to, or used in, a sanctioned country or region.
第18条(禁止行為)Article 18 (Prohibited conduct)
お客様は、次の行為を行ってはなりません。違法な目的のために本サービスを利用すること、虚偽の情報を提供すること、商業貨物として又は転売目的で本サービスを利用すること、当社又は運送事業者の業務を妨害すること、及び当社の承諾なく本サービス契約上の地位を第三者に移転すること。The Customer must not: use the Service for an unlawful purpose; provide false information; use the Service as commercial cargo or for resale; interfere with the operations of the Company or a Carrier; or transfer their position under a Service contract to a third party without the Company’s consent.
第19条(反社会的勢力の排除)Article 19 (Exclusion of organised crime groups)
- お客様は、自らが暴力団、暴力団員、暴力団関係者、総会屋その他これらに準ずる者に該当せず、将来にわたっても該当しないことを表明し、保証します。The Customer represents and warrants that they are not, and will not become, a boryokudan (organised crime group), a member of one, a person associated with one, a corporate racketeer, or any equivalent person.
- お客様が前項に違反した場合、当社は、何らの催告なく直ちに契約を解除することができ、これにより生じた損害について責任を負わず、また保管中の荷物を第9条により直ちに処分することができます。Where the Customer breaches the preceding paragraph, the Company may terminate the contract immediately without notice, is not liable for any loss arising from that termination, and may immediately dispose of any Parcel in storage under Article 9.
第20条(サービスの停止及び終了)Article 20 (Suspension and termination of the Service)
当社は、お客様が本規約に違反した場合、違法な利用が合理的に疑われる場合、継続することにより当社又は運送事業者が法的又は安全上のリスクにさらされる場合、並びに保守又は不可抗力により必要な場合には、本サービス又はお客様による利用を停止し、又は終了することができます。The Company may suspend or terminate the Service, or the Customer’s use of it, where the Customer breaches these Terms, where unlawful use is reasonably suspected, where continuing would expose the Company or a Carrier to legal or safety risk, and where necessary for maintenance or by reason of force majeure.
第21条(個人情報の取扱い)Article 21 (Handling of personal information)
当社は、本規約の一部を構成するプライバシーポリシーに従って個人情報を取り扱います。お客様は、本サービスを利用することにより、プライバシーポリシーに記載するとおり、お客様の個人情報がFedEx(米国)及びStripe(米国)に提供されることに同意します。The Company handles personal information in accordance with its Privacy Policy, which forms part of these Terms. By using the Service, the Customer consents to their personal information being provided to FedEx (United States) and Stripe (United States) as described in the Privacy Policy.
第22条(本規約の変更)Article 22 (Changes to these Terms)
- 当社は、変更がお客様の一般の利益に適合する場合、又は変更の必要性、変更後の内容の相当性その他の事情に照らして合理的な場合には、民法第548条の4に従い本規約を変更することができます。The Company may amend these Terms in accordance with Article 548-4 of the Civil Code of Japan where the amendment is in the general interest of customers, or where it is reasonable in light of the need for the amendment, the appropriateness of the amended content and other circumstances.
- 当社は、変更、その内容及び効力発生時期を、少なくとも14日前に https://sayonarabox.jp において周知します。The Company will give notice of the amendment, its content and its effective date at https://sayonarabox.jp at least 14 days in advance.
- 個別の本サービス契約には、当該契約の成立時に効力を有する本規約が適用されます。An individual Service contract is governed by the Terms in force at the time that contract was formed.
第23条(可分性)Article 23 (Severability)
本規約のいずれかの条項が無効又は執行不能とされた場合であっても、その余の条項は完全に効力を有し、無効とされた条項は法令が許容する最大限の範囲で適用されます。If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force, and the provision held invalid applies to the maximum extent permitted by law.
第24条(準拠法及び管轄)Article 24 (Governing law and jurisdiction)
- 本規約及び本サービス契約は、日本法に準拠します。These Terms and any Service contract are governed by the laws of Japan.
- 本規約又は本サービスに起因し又は関連する一切の紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。The Tokyo District Court has exclusive jurisdiction as the court of first instance over any dispute arising out of or in connection with these Terms or the Service.
- 本条のいかなる定めも、消費者に対し、その常居所地法の強行規定が適用される場合において当該規定による保護を奪うものではありません。Nothing in this Article deprives a consumer of the protection of mandatory provisions of the law of their habitual residence, where those provisions apply.
第25条(言語)Article 25 (Language)
本規約は、英語版を正文とします。本日本語版は参考のために提供されるものです。両者の間に相違がある場合、英語版が優先します。The English version of these Terms is the governing version. The Japanese version is provided for reference. In the event of any difference between them, the English version prevails.
